Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, products, applications, platforms, and services provided by Tech Youth Pvt. Ltd. ("Tech Youth," "we," "our," or "us") (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.
1. The Services
Tech Youth provides technology and professional services to businesses and other organizations, including:
- Software and application development;
- Website development;
- Artificial intelligence ("AI") and automation solutions;
- Cloud and infrastructure services;
- Business systems integration;
- UI/UX design;
- Technology consulting;
- Maintenance and technical support; and
- Other related technology services.
Specific projects or engagements may be governed by a separate Statement of Work ("SOW"), Master Services Agreement ("MSA"), project contract, order form, proposal, or other written agreement. Where there is a conflict between these Terms and a signed written agreement relating to a specific engagement, the terms of the signed agreement will control to the extent of the conflict.
2. Eligibility and Accounts
2.1 Eligibility
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2.2 Account Information
Where an account is required, you agree to provide information that is accurate, current, and complete, including a valid phone number where required for OTP verification. You are responsible for keeping your account information up to date.
2.3 Account Security
You are responsible for maintaining the confidentiality and security of your account credentials and for activities conducted through your account. You must promptly notify Tech Youth if you believe that your account has been accessed or used without authorization. Tech Youth will not be responsible for losses arising from your failure to maintain appropriate account security, except to the extent caused by our failure to meet obligations required by applicable law.
3. Acceptable Use
You agree to use the Services lawfully and responsibly and must not:
- Violate any applicable law, regulation, court order, or third-party right;
- Upload, transmit, distribute, or facilitate malicious code, malware, spam, or harmful content;
- Attempt to gain unauthorized access to Tech Youth systems, accounts, networks, infrastructure, or data;
- Circumvent security, authentication, access controls, or other protective measures;
- Reverse engineer, decompile, disassemble, scrape, copy, or reproduce the Services except to the extent expressly permitted by applicable law;
- Interfere with or disrupt the integrity, security, availability, or performance of the Services;
- Misrepresent your identity, authority, affiliation, or relationship with any person or organization;
- Use the Services to infringe, misappropriate, or otherwise violate intellectual property or other rights of any third party;
- Use the Services for fraudulent, abusive, deceptive, or unlawful purposes; or
- Engage in any activity prohibited by our Acceptable Use Policy.
Tech Youth reserves the right to suspend or terminate access to the Services where we reasonably determine that these Terms, our Acceptable Use Policy, or applicable law has been violated.
4. Intellectual Property
4.1 Tech Youth Property
Unless expressly stated otherwise in writing, the Services and all associated materials are owned by Tech Youth or its licensors. This includes, without limitation: website design and interfaces; source code and software; documentation; branding and trademarks; logos; graphics and visual assets; templates; frameworks; libraries; tools; methodologies; processes; know-how; and other proprietary materials.
Except as expressly permitted under these Terms or a separate written agreement, you may not copy, reproduce, modify, distribute, sell, license, publish, or create derivative works from Tech Youth's proprietary materials.
4.2 Client Materials
You retain ownership of materials, information, data, files, content, trademarks, and other materials that you provide to Tech Youth ("Client Materials"). You grant Tech Youth a limited, non-exclusive license to access, reproduce, modify, process, store, and otherwise use Client Materials solely to the extent reasonably necessary to provide the Services and fulfill our contractual obligations. You represent that you have all rights, permissions, and authorizations necessary for Tech Youth to use the Client Materials for the purposes described above.
4.3 Project Deliverables
Ownership and intellectual property rights in custom project deliverables will be determined by the applicable SOW, MSA, project contract, or other written agreement. Unless otherwise agreed in writing, ownership of eligible custom deliverables will transfer to the client upon full payment of all amounts due for the applicable project.
Notwithstanding such transfer, Tech Youth retains ownership of its pre-existing intellectual property, proprietary tools, frameworks, libraries, reusable components, templates, methodologies, know-how, and other materials developed independently of the specific project. Where such pre-existing materials are incorporated into a deliverable, Tech Youth grants the client a non-exclusive right to use those materials only as reasonably necessary to use the applicable deliverable, unless otherwise agreed in writing.
5. Consultations, Estimates, and Proposals
Free consultations, preliminary discussions, estimates, quotations, proposals, and project assessments are provided for evaluation and planning purposes and do not constitute a binding offer unless expressly stated otherwise. Project scope, pricing, deliverables, milestones, timelines, and other commitments become binding only when confirmed in writing through an applicable agreement, SOW, order form, proposal acceptance, or other written confirmation.
Unless expressly stated otherwise, estimates and projected timelines are subject to change based on project requirements, dependencies, client feedback, third-party services, and other relevant circumstances.
6. Payments and Fees
6.1 Fees
Fees for the Services will be as specified in the applicable project agreement, SOW, invoice, subscription plan, order form, or published pricing applicable at the time of purchase.
6.2 Payment Schedule
Invoices and other payment obligations are due according to the payment schedule agreed between you and Tech Youth. Unless otherwise agreed in writing, Tech Youth may suspend work or access to applicable Services where amounts remain overdue.
6.3 Late Payments
Late payments may result in applicable interest, administrative charges, suspension of Services, or other remedies where permitted by the applicable agreement and law.
6.4 Taxes
Unless expressly stated otherwise, quoted prices may not include applicable taxes, duties, levies, or governmental charges. You are responsible for applicable taxes arising from your purchase or use of the Services, except taxes imposed on Tech Youth's income.
6.5 Refunds and Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy, together with any specific terms contained in your project agreement or applicable law.
7. Confidentiality
Each party agrees to protect the other party's confidential information using at least reasonable care and to use such information only for legitimate purposes related to the applicable engagement or Services. Confidential information may include business information, technical information, financial information, project information, credentials, proprietary processes, and other information that is reasonably understood to be confidential.
These confidentiality obligations will remain in effect during the engagement and for three (3) years after termination or completion, unless a longer period is required by a separate written agreement, applicable law requires a longer period, or the information constitutes a trade secret or other information entitled to protection for a longer period under applicable law.
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of these Terms;
- Was lawfully known by the receiving party before disclosure;
- Is lawfully received from a third party without confidentiality obligations; or
- Is independently developed without use of the other party's confidential information.
A party may disclose confidential information where required by law, regulation, court order, or other lawful governmental process, subject to applicable legal requirements.
8. Third-Party Services
The Services may integrate with, depend upon, or provide access to third-party services, platforms, applications, APIs, hosting providers, payment processors, analytics providers, cloud infrastructure, or other third-party technologies. Your use of third-party services may be subject to separate terms, conditions, and privacy policies established by those third parties.
Tech Youth does not control and, to the extent permitted by law, is not responsible for the availability, performance, security, content, policies, or practices of third-party services. Where a third-party service is necessary for the delivery of a project, changes, interruptions, pricing adjustments, or discontinuation by the third-party provider may affect the Services.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE EXTENT PERMITTED BY LAW, TECH YOUTH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE AVAILABLE OR UNINTERRUPTED;
- THE SERVICES WILL BE COMPLETELY ERROR-FREE;
- ALL DEFECTS WILL BE CORRECTED;
- THE SERVICES WILL MEET EVERY PARTICULAR REQUIREMENT OR EXPECTATION;
- THE SERVICES WILL BE COMPLETELY SECURE; OR
- INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT.
Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECH YOUTH PVT. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR ANTICIPATED SAVINGS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH YOUTH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO TECH YOUTH FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
11. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Tech Youth Pvt. Ltd., its directors, officers, employees, contractors, affiliates, and representatives from claims, liabilities, damages, losses, costs, and reasonable expenses arising out of or relating to:
- Your material breach of these Terms;
- Your misuse of the Services;
- Your violation of applicable law;
- Your violation of a third party's rights;
- Client Materials that infringe or violate third-party rights; or
- Your unauthorized use of the Services.
Tech Youth will provide reasonable notice of any claim for which indemnification is sought and reasonable cooperation in defending the claim, subject to applicable law.
12. Suspension and Termination
12.1 Termination by You
You may stop using the Services or close your account at any time, subject to any outstanding contractual, payment, or other obligations. Closing an account does not automatically cancel an active project, subscription, or other contractual commitment unless the applicable agreement permits such cancellation.
12.2 Suspension or Termination by Tech Youth
Tech Youth may suspend or terminate your access to some or all of the Services where:
- You materially breach these Terms;
- You fail to make required payments;
- Your use of the Services creates a security or operational risk;
- Your use violates applicable law or our policies;
- Suspension or termination is required by law; or
- Other circumstances reasonably require us to protect the Services, our users, or our legitimate interests.
Where reasonably practicable, we may provide notice and an opportunity to address the issue before suspension or termination.
12.3 Effect of Termination
Upon termination, your right to access or use the applicable Services will cease unless otherwise stated in the applicable agreement. Provisions that by their nature should survive termination will continue to apply, including provisions relating to intellectual property; confidentiality; payment obligations; disclaimers; limitation of liability; indemnification; dispute resolution; and any other provisions intended to survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Nepal, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute, claim, or disagreement arising out of or relating to these Terms or the Services through good-faith negotiation.
If the dispute cannot be resolved through good-faith negotiation, it will be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal, to the extent permitted by applicable law. Nothing in this section prevents either party from seeking urgent or interim relief where such relief is available under applicable law.
14. Changes to These Terms
Tech Youth may update or modify these Terms from time to time to reflect changes to our Services, business practices, technology, legal requirements, or regulatory obligations. For material changes, we may provide notice through the website, email, account notifications, or other reasonable means. The updated Terms will become effective on the date specified in the revised Terms. Your continued access to or use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by applicable law. If you do not agree to the revised Terms, you must discontinue use of the Services.
15. General Provisions
15.1 Entire Agreement
These Terms, together with any applicable SOW, MSA, project contract, order form, and policies incorporated by reference, constitute the agreement governing your use of the Services, subject to the terms of any applicable signed agreement.
15.2 Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
15.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where permitted by applicable law. Tech Youth may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar business transaction.
